These Terms of Service (the ” Terms of Service” or ” Agreement“) govern the use of the mobile and internet-based services offered by Barberlytics (” Barberlytics,” ” we” or ” us“) at and through the website get Barberlytics.com (the ” Website“), the Barberlytics mobile application and Barberlytics technology platform (such services, applications, the Website and technology platform are collectively referred to as the ” Services“; or the ” Barberlytics Platform“). The defined term the Terms of Service includes all exhibits or policies referenced in the Terms of Service, including the Privacy Policy.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS IS A LEGAL AGREEMENT BETWEEN BARBERLYTICS AND YOU, WHICH GOVERNS YOUR USE OF THE SERVICES. YOUR USE OF THE SERVICES CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO ALL OF THE TERMS AND CONDITIONS IN THESE TERMS OF SERVICE AND YOUR REPRESENTATION THAT YOU ARE AN INDIVIDUAL WHO CAN FORM LEGALLY BINDING CONTRACTS UNDER APPLICABLE LAW. WITHOUT LIMITING THE FOREGOING, THE SERVICES ARE NOT AVAILABLE TO CHILDREN (PERSONS UNDER THE AGE OF 18) OR USERS WHO HAVE HAD THEIR USER ACCOUNT TEMPORARILY OR PERMANENTLY DEACTIVATED. BY BECOMING A USER, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU HAVE THE RIGHT, AUTHORITY AND CAPACITY TO ENTER INTO AND ABIDE BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU OBJECT TO ANYTHING IN THESE TERMS OF SERVICE, YOU ARE NOT PERMITTED TO USE THE SERVICES.
The Barberlytics Platform is protected by intellectual property laws, including without limitation copyright laws and trademark laws, and international treaties. Unauthorized reproduction or distribution of the Services or the Barberlytics Platform, or any portion of them, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under the law. The Services are licensed, not sold.
I. SERVICES
Barberlytics is a platform that provides a marketplace for clients (”Clients” or ”you“) seeking barbering services (”Barbering Services“) by connecting Clients with barbers and/or barbering professionals (collectively, ”Professionals“) providing Barbering Services. The Professionals and Clients are both users of the Services provided by Barberlytics and are hereinafter referred to collectively as ”Users.”
Barberlytics solely provides a platform for Professionals and Clients to connect and serves only as a medium to facilitate the provision of Barbering Services. Barberlytics does not provide or contract for Barbering Services, and Professionals and Clients contract independently for the provision of Barbering Services. Each Client is solely responsible for selecting the Professional, the Barbering Services to be provided and the location at which Barbering Services will be performed, whether on the premises of a Professional or at a site designated by the Client. Any decision by a Client to receive Barbering Services or by a Professional to provide Barbering Services is a decision made in such person’s sole discretion.
Barberlytics does not have control over the quality, suitability, reliability, timing, durability, legality, failure to provide, or any other aspect whatsoever of any Barbering Services provided by Professionals nor of the integrity, responsibility or any of the actions or omissions whatsoever of any Professionals or Clients. Barberlytics makes no representations or warranties whatsoever with respect to Barbering Services offered or provided by Professionals or requested by Clients through use of the Services, whether in public, private, or offline interactions, or about the accreditation, registration or licensing of any Professional. You understand that Barberlytics does not routinely screen its Users, inquire into the background of its Users or attempt to verify information provided by any User. Barberlytics does not verify or confirm that any User is who they claim to be or is accurately representing themselves and does not verify or confirm any representations with respect to Barbering Services or Professionals’ identity on the Barberlytics Platform. Barberlytics does not assume any responsibility for the accuracy or reliability of this information or any information provided on or through the Barberlytics Platform.
Although the Services are intended to provide each Professional’s availability in real-time, it is possible that a scheduling conflict may occur that requires the Professional to reschedule your reservation. Creation of a reservation using the Services is not a guarantee that the Professional will honor the reservation as scheduled.
Barberlytics cannot guarantee availability of the Services to any User.
II. PAYMENTS
By using the Barberlytics Services to book and pay for Barbering Services means you acknowledge and agree to pay the fees associated with booking the Barbering Services (”Charges“) as described either at the time of reservation or in person with the Professional at time of checkout. Charges include applicable fees for Barbering Services, plus any tips to the Professional that you elect to pay, plus applicable booking fees, if any, applicable taxes and other applicable fees. Barbering Services fees are set by Professionals and are set forth on the applicable Professional’s page within the Barberlytics Platform. After you make a reservation but prior to your time of appointment, an authorization hold may be placed on your payment method. Your payment method will not be charged until after the time of your appointment. If you cannot make your appointment, it is your responsibility to cancel on time to avoid unnecessary charges. Note, however, it is your responsibility to know your Professional’s cancellation policy and the cancellation policy of the business your Professional is associated with (the ”Shop“). In the event that you cancel your appointment for Barbering Services, depending on your Professional’s or the Shop’s cancellation policy, you may be assessed a cancellation fee (”Cancellation Fee“). If using the Barberlytics Services to book your appointment, then each Professional’s Cancellation Fee, if any, is displayed for you to acknowledge and agree prior to you submitting your reservation. Cancellation Fees may be equal to the entire Charges for the reservation.
In connection with using the Barberlytics Platform to receive Barbering Services you are required to enter credit card or other payment information. By entering your payment information when requested, you authorize Barberlytics and payment processors to charge and process assessed Charges or Cancellation Fees. While Barberlytics takes what we believe to be reasonable efforts to ensure secure transmission of your information to third parties who assess and process payments, Barberlytics is not responsible for any fees or charges assessed by third parties or any errors in the processing of payments by third parties, including any errors that result from third-party negligence, improper transmission of payment information, your mistaken submission of payment information, or your submission of erroneous payment information.
Barberlytics facilitates the payment transaction per these Terms of Service between you and each Professional, but is not responsible for mediating any resulting disputes. Barberlytics has no obligation to provide refunds or credits, but may grant them in extenuating circumstances, as a result of specific refund guarantee promotions, or to correct any errors made by Barberlytics, in each case in Barberlytics’s sole discretion.
III. PAYMENT PROCESSING SERVICES
Barberlytics’s Role
Part of the functionality of the Services allows Clients to pay and Professionals to accept payments for Barbering Services, including card-based payments initiated with cards bearing the trademarks of various credit or debit card companies (collectively, the ”Networks“). Barberlytics is not a bank and does not offer banking services as defined by the United States Department of Treasury. Barberlytics facilitates the processing of payments Professionals receive from Clients. This means that we collect, analyze and relay information generated in connection with these payments.
Authorization
You authorize us to process payments in accordance with the Services, using the payment information you have supplied.
Credit Card Authorization
Upon addition of a new payment method, Barberlytics may seek authorization of your selected payment method for verification purposes to ensure that the cost of Barbering Services will be covered and protect against unauthorized behavior. The authorization is not a charge. However, it may reduce your available credit by the authorization amount until your applicable Network’s next processing cycle. Should the amount of our authorization exceed the total funds on deposit in your account, you may be subject to overdraft or non-sufficient funds charges by the institution issuing your debit or credit card. We cannot be held responsible for these charges and are unable to assist you in recovering them from your issuing institution.
IV. BARBERLYTICS ACCOUNTS
Account Registration
By creating an account with Barberlytics (an ”Account“), you are granted a right to use the Services provided by Barberlytics subject to the restrictions set forth in these Terms of Service and in the Privacy Policy (which is incorporated herein and is a part of these Terms of Service) and any other restrictions stipulated to you by us in writing. In registering for an Account, you agree to provide true, accurate, current and complete information about yourself as prompted by the Services’ registration process and as requested from time to time by Barberlytics (such information, ”Registration Data“). You further agree that, in providing such Registration Data, you will not knowingly omit or misrepresent any material facts or information and that you will promptly enter corrected or updated Registration Data via the Services, or otherwise advise us promptly in writing of any changes or updates to your Registration Data. You further consent and authorize us to verify your Registration Data as required for your use of and access to the Services. We reserve the right to suspend or terminate the Account of anyone who provides inaccurate, untrue, or incomplete information, or who fails to comply with the account registration requirements.
Account ID
Once you register for the Services, you shall receive a unique user identification and password in connection with your Account (collectively referred to herein as ”Account IDs“). You must use your true and accurate name when signing up for an Account. You are required to select an appropriate and non-offensive Account ID. We reserve the right to remove or reclaim any Account ID if we believe, in our sole discretion, the Account ID is inappropriate, offensive or confusing or potentially violates the rights of a third party (such as when a trademark owner provides notice that an Account ID is similar to the trademark and the Account ID does not closely relate to the User’s actual name or trademark rights).
Your Account
You agree to maintain your Account solely for your own use. You agree that you will not allow another person to use your Account IDs to access or use the Services under any circumstances. You are solely and entirely responsible for maintaining the confidentiality of your Account IDs and for any charges, damages, liabilities or losses incurred or suffered as a result of your failure to do so. We are not liable for any harm caused by or related to the theft of your Account IDs, your disclosure of your Account IDs, or your authorization to allow another person to access or use the Services using your Account IDs. Furthermore, you are solely and entirely responsible for any and all activities that occur under your Account, including any charges incurred relating to the Services. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security known to you. You acknowledge that the complete privacy of your data and messages transmitted while using the Services cannot be guaranteed.
Linking Your Account
As part of the functionality of the Services, you may link your Account with online accounts you may have with third party service providers (each such account, a (“Third Party Account“) by either: (i) providing your Third Party Account login information through the Services; or (ii) allowing Barberlytics to access your Third Party Account, as is permitted under the applicable terms and conditions that govern your use of such Third Party Account. You represent that you are entitled to disclose your Third Party Account login information to Barberlytics and/or grant Barberlytics access to your Third Party Account (including, but not limited to, for use for purposes described herein), without breach by you of any of the terms and conditions that govern your use of the applicable Third Party Account and without obligating Barberlytics to pay any fees or making Barberlytics subject to any usage limitations imposed by such third party service providers. By granting Barberlytics access to any Third Party Accounts, you understand that Barberlytics may access, make available and store (if applicable) any content that you have provided to and stored in your Third Party Account, including without limitation any friend lists, mutual friends lists, following/followed lists and liked lists (the ” SNS Content“), so that it is available on and through the Barberlytics Platform to other Users. Unless otherwise specified in these Terms of Service, all SNS Content, if any, shall be considered to be your information. Depending on the Third Party Accounts you choose and subject to the privacy settings that you have set in such Third Party Accounts, personally identifiable information that you post to your Third Party Accounts may be available on and through your Account on the Barberlytics Platform. Please note that if a Third Party Account or associated service becomes unavailable or Barberlytics’s access to such Third Party Account is terminated by the third party service provider, then SNS Content may no longer be available on and through the Barberlytics Platform. At your request made via e-mail, Barberlytics will deactivate the connection between the Barberlytics Services and any of your Third Party Accounts and delete any applicable information stored on Barberlytics’s servers that was obtained through such Third Party Account, except the username and profile picture that become associated with your Account. PLEASE NOTE THAT YOUR RELATIONSHIP WITH THE THIRD PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD PARTY SERVICE PROVIDERS. Barberlytics makes no effort to review any SNS Content for any purpose, including but not limited to, for accuracy, legality or non-infringement, and Barberlytics is not responsible for any SNS Content.
Barberlytics facilitates the payment transaction per these Terms of Service between you and each Professional, but is not responsible for mediating any resulting disputes. Barberlytics has no obligation to provide refunds or credits, but may grant them in extenuating circumstances, as a result of specific refund guarantee promotions, or to correct any errors made by Barberlytics, in each case in Barberlytics’s sole discretion.
The Services may contain links to third party websites that are not owned or controlled by Barberlytics. Barberlytics has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Barberlytics will not and cannot censor or edit the content of any third-party site. By using the Services, you expressly relieve Barberlytics from any and all liability arising from your use of any third-party website.
You acknowledge and agree that the Services may access your e-mail address book associated with a Third Party Account and your contacts list stored on your mobile device or tablet computer solely for the purposes of identifying and informing you of those contacts who have also registered to use the Services.
V. ACCOUNT TERMINATION
Right to Terminate
Barberlytics reserves the right, in its sole discretion, to terminate your Account if you violate these Terms of Service or for any reason or no reason at any time. We may also suspend your access to your Account (including the funds in your Account), the Barberlytics Platform and the Services if you (i) have violated the terms of this Agreement, any other agreement you have with Barberlytics, or Barberlytics’s policies or (ii) provide any false, incomplete, inaccurate, or misleading information or otherwise engage in dishonest, fraudulent or illegal conduct.
Termination Effects
If your Account is terminated or suspended for any reason or no reason, you agree: (a) to continue to be bound by this Agreement, (b) to immediately stop using the Services, (c) that the license provided under this Agreement shall end, (d) that we reserve the right (but have no obligation) to delete all of your information and account data stored on our servers, and (e) that Barberlytics shall not be liable to you or any third party for termination or suspension of access to the Services or for deletion of your information or account data.
We will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Services, or in connection with any termination or suspension of the Services. Any termination of this Agreement does not relieve you of any obligations to pay any Charges, Cancellations fees or other fees or costs accrued prior to the termination and any other amounts owed by you to us or any of the Professionals as provided in this Agreement.
Barberlytics is not liable for any losses relating to chargebacks, fraudulent charges, or other actions by any User that are deceptive, fraudulent or otherwise invalid (”Fraudulent Actions“). By using the Services, you hereby release Barberlytics from any liability arising from Fraudulent Actions. You will also use best efforts to promptly notify Barberlytics of any Fraudulent Actions, which may affect the Services. Barberlytics reserves the right, in its sole discretion, to terminate the account of any User that engages in, or enables any other User to engage in, Fraudulent Actions.
VI. BARBERLYTICS COMMUNICATIONS
By subscribing to Barberlytics Alerts, you expressly consent and agree to accept and receive SMS communications from Barberlytics via short code to the cellular telephone number you provided to us. By accepting this Agreement you consent to receive SMS messages to the cellular telephone number provided by you to Barberlytics, including those SMS sent through the use of automated technology. SMS messages from Barberlytics may include, but are not limited to: reminders in connection with Barbering Services, operational communications concerning your Accounts or use of the Barberlytics Platform or Services, updates concerning new and existing features on the Barberlytics Platform, communications concerning promotions, and news concerning Barberlytics and industry developments. Message frequency may vary depending on the user’s preferences. Residents may opt-out of future messages from Barberlytics at any time by replying STOP. You may otherwise opt-out by contacting us. Your carrier’s standard message and data rates may apply. The wireless carriers do not guarantee that alerts will be delivered and will not be liable for delayed or undelivered messages. You acknowledge that you are not required to consent to receive promotional messages as a condition of using the Barberlytics Platform or the Services. However, you acknowledge that opting out of receiving text messages or other communications may impact your use of the Barberlytics Platform or the Services. Barberlytics respects your privacy.
VII. BARBERLYTICS USE, LIMITATIONS AND CHANGES TO THE SERVICE
We may change, modify, suspend, or discontinue all or any part of the Services at any time, with or without reason. You acknowledge that the operation of the Services may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors and Barberlytics shall not be responsible to you or others for any such interruptions, errors or problems or an outright discontinuance of the Services. Barberlytics has no obligation to maintain or update the Services or to continue producing or releasing new versions of the Services.
We will make reasonable efforts to keep the Services operational twenty (24) hours a day/seven (7) days a week, except for: (i) planned downtime (of which we will endeavor to provide at least 8 hours prior notice); or (ii) any unavailability caused by circumstances beyond our control, including but not limited to, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems or Internet service provider failures or delays.
As a User of the Services, you agree to follow all applicable rules and laws and take full responsibility for any promotion you offer via the Services.
When you publish content or information through the Service, it means that everyone, including people outside of the Barberlytics community, will have access to that information and we may not have control over what they do with it.
We always appreciate your feedback or other suggestions about Barberlytics, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
We do our best to keep Barberlytics safe and spam free, but can’t guarantee it. With respect to your use of the Barberlytics Platform and receipt of Barbering Services, you agree not to:
- impersonate any person or entity;
- stalk, threaten, or otherwise harass any person;
- carry any weapons;
- violate any law, statute, ordinance or regulation;
- interfere with or disrupt the Services or the Barberlytics Platform or the servers or networks connected to the Barberlytics Platform;
- post or transmit information or interact on the Barberlytics Platform in a manner which is false, inaccurate, misleading (directly or by omission or failure to update information), defamatory, libelous, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, or illegal;
- use the Barberlytics Platform in any way that infringes any third party’s rights, including but not limited to: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
- post, e-mail or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Barberlytics Platform;
- “frame” or “mirror” any part of the Barberlytics Platform, without our prior written authorization or use meta tags or code or other devices containing any reference to us in order to direct any person to any other web site for any purpose;
- modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Barberlytics Platform or any software used on or for the Barberlytics Platform;
- rent, lease, lend, sell, redistribute, license or sublicense the Barberlytics Platform;
- use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Barberlytics Platform or its contents;
- link directly or indirectly to any other web sites;
- transfer or sell your Account or Account ID to any other party; or
- cause or facilitate any third-party to engage in the restricted activities above.
To make sure we are able to provide the Services you agree to:
- keep your Registration Data and contact information accurate and up-to-date;
- keep your payment information accurate and up-to-date; and
- keep your Account IDs and Account information confidential and to not share your login information or Account IDs, let anyone else access your Account, or do anything else that might jeopardize the security of your Account.
VIII. HIPAA NOTICE
You should not share any protected health information with service providers via the Service. The Service is not intended to be used for communication of protected health information and it is not intended to be compliant with the Health Insurance Portability and Accountability Act (HIPAA). The term ” protected health information” means any information that relates to the past, present or future physical or mental health or condition of an individual; the provision of health care to an individual; or the past, present or future payment for the provision of health care to an individual. If you do share any protected health information, you do so at your own risk.
IX. PROPRIETARY RIGHTS
The Services contain content and technology of Barberlytics that is protected by copyright, trademark, patent, trade secret and other laws. Barberlytics owns intellectual property rights to any protectable part of the Services, including but not limited to the design, artwork, logos, functionality, and documentation (collectively, the ”Barberlytics Property). You may not copy, modify, or reverse engineer any part of the Services or the Barberlytics Property.
Barberlytics respects the intellectual property of others. Barberlytics may, at its discretion, disable and/or terminate the Accounts of Users who Barberlytics, in its determination, believes have repeatedly infringed others’ rights. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide the following information to Barberlytics’s copyright agent:
- an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
- a description of the copyrighted work or other intellectual property that you claim has been infringed;
- description of where the material that you claim is infringing is located on the site, including a url link;
- your address, telephone number, and email address;
- a statement by you that you have a good faith belief that the disputed use is not authorized or consented to by the copyright owner, its agent, or the law; and
- a statement by you, made under penalty of perjury, that the above information in your notice is completely accurate and that you are the copyright or intellectual property owner or are authorized to act on the copyright or intellectual property owner’s behalf.
X. DISCLAIMERS
You expressly understand and agree that:
Your use of the services is at your sole risk. You are fully and solely responsible for your interactions with other users and you agree that it is solely your responsibility to take reasonable precautions in all actions and interactions with other professionals and clients and in the provision or receipt of barbering services. Barberlytics is not responsible for the conduct, whether online or offline, of any user of the services. Barberlytics is under no obligation to, and does not routinely, screen its users, inquire into the background of its users or attempt to verify information provided by any user. We reserve the right, but have no obligation, to monitor disputes between you and other users. please carefully select the type of information that you post on the services or through the services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of any user or other parties.
Location data provided by the Barberlytics platform is for basic location purposes only and is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate or incomplete location data may lead to death, personal injury, property or environmental damage. Neither Barberlytics, nor any of its content providers, guarantees the availability, accuracy, completeness, reliability, or timeliness of location data displayed by the Barberlytics platform. Any of your information, including geolocational data, you upload, provide, or post on the Barberlytics platform may be accessible to Barberlytics and certain users of the Barberlytics platform.
It is possible for others to obtain personal information about you due to your use of the services or barbering services and use such information to harass or injure you. We are not responsible for the use of any personal information that you disclose on the Barberlytics platform or through the services or barbering services. You understand that in using the services, sensitive information will travel through third-party infrastructure that is not under Barberlytics’ control (such as third party servers). Barberlytics makes no warranty with respect to the security of such third-party infrastructure.
The services are provided on an “as is” and “as available” basis. Barberlytics and its subsidiaries, affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and noninfringement.
Barberlytics makes no warranty that (i) the services will meet your requirements or expectations, (ii) that your access to or use of the services will be uninterrupted, timely, secure or error free, (iii) that any defects in the services will be corrected, or (iv) that the services or any server through which you access the services is free of viruses or other harmful components.
Barberlytics makes no representations or warranties about the quality, suitability, reliability, timing, durability, legality, or any other aspect of barbering services offered or provided by professionals or requested by clients through use of the services whether in public, private, or offline interactions or about the accreditation, registration or license of any professional.
Any material downloaded or otherwise obtained through the use of the services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system, mobile device, tablets or loss of data that results from the download of any such material.
No advice or information, whether oral or written, obtained by you from barberlytics or through or from the services shall create any warranty not expressly stated in these terms of service.
XI. LIMITATIONS OF LIABILITY AND RELEASE
To the fullest extent permitted by law, in no event shall barberlytics or its affiliates, officers, employees, agents, partners and licensors be liable for any damages whatsoever, whether direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for bodily injury or emotional distress and damages for loss of profits, goodwill, use, data or other intangible losses (even if barberlytics has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the services; (ii) barbering services facilitated by the services or any interactions between users, including without limitation any liabilities arising in connection with the conduct, act or omission of any user (including without limitation stalking, harassment that is sexual or otherwise, acts of physical violence, and destruction of personal property) or any dispute with any user; (iii) statements or conduct of any third party on the service; (iv) any unauthorized access to or alteration of the services or your data or transmissions; or (v) any other matter relating to the services.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. accordingly, some of the above limitations may not apply to you.
Barberlytics expressly disclaims any liability that may arise between users related to or arising from use of the services. Because Barberlytics is not involved in the actual interactions between professionals and clients or in the provision of any barbering services, you hereby release and forever discharge Barberlytics and its affiliates, officers, directors, employees, agents and licensors from any and all claims, demands, damages (actual or consequential) of every kind and nature, whether known or unknown, contingent or liquidated, arising from or related to any dispute or interactions with any other user, whether online or in person, whether related to the provision of barbering services or otherwise.
XII. INDEMNIFICATION
You agree to defend, indemnify and hold harmless Barberlytics and its affiliates, officers, directors, employees, agents, partners and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt and expenses (including but not limited to attorney’s fees) arising from or relating to: (i) your use of and access to the Services; (ii) Barbering Services facilitated by the Services or any interaction between you and another User; (iii) your violation of any term of these Terms of Service; (iv) your violation of any rights of a third party, including without limitation any copyright, intellectual property, trade secret or privacy right; or (v) any third-party claims or damages relating to death, personal injury or emotional distress arising from or related to use of the Services or the Barbering Services. This defense and indemnification obligations will survive the termination of this Agreement and your use of the Services.
XIII. PRIVACY
Our collection of data and information via the Services from Users and others is subject to our Privacy Policy and is incorporated herein (the ”Privacy Policy“). You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of such data and information.
XIV. SECURITY
We have implemented technical and organizational measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
XV. MISCELLANEOUS; CHANGES
These Terms of Service and all referenced exhibits or policies, including the Privacy Policy, constitute the entire agreement between you and Barberlytics concerning the subject matter herein and the use of the Services supersedes any and all previous agreements, written or oral, between you and Barberlytics, including previous versions of these Terms of Service.
Barberlytics reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement or delete any of these Terms of Service and all referenced exhibits or policies, including the Privacy Policy. Barberlytics will endeavor to notify you of any material changes by email, but will not be liable for any failure to do so. If any future changes to these Terms of Service are unacceptable to you or cause you to no longer be in compliance with these Terms of Service, you must terminate and immediately stop using Barberlytics. Your continued use of Barberlytics following any revision to these Terms of Service constitutes your complete and irrevocable acceptance of any and all such changes.
Barberlytics may assign these Terms of Service or any other agreement with you in whole or part at any time.
These Terms of Service and the relationship between you and Barberlytics shall be governed by the laws of the State of New Jersey without regard to its conflict of law provisions. You and Barberlytics agree to submit to the personal and exclusive jurisdiction of the courts located within New Jersey.
Any failure of Barberlytics to enforce or exercise a right provided in these Terms of Service is not a waiver of that right.
Should any provision of these Terms of Service be found invalid or unenforceable, the remaining terms shall still apply.

La Plataforma Barberlytics está protegida por leyes de propiedad intelectual, incluidas, entre otras, las leyes de derechos de autor y las leyes de marcas registradas, y los tratados internacionales. La reproducción o distribución no autorizada de los Servicios o de la Plataforma Barberlytics, o de cualquier parte de los mismos, puede resultar en severas sanciones civiles y penales, y será procesada en la máxima medida posible por la ley. Los Servicios se licencian, no se venden.
I. SERVICIOS
Barberlytics es una plataforma que proporciona un mercado para clientes ("Clientes" o "usted") que buscan servicios de barbería ("Servicios de Barbería") al conectar Clientes con barberos y/o profesionales de la barbería (colectivamente, "Profesionales") que brindan Servicios de Barbería. Los Profesionales y los Clientes son ambos usuarios de los Servicios proporcionados por Barberlytics y en lo sucesivo se denominarán colectivamente "Usuarios".
Barberlytics proporciona únicamente una plataforma para que Profesionales y Clientes se conecten y sirve solo como un medio para facilitar la prestación de Servicios de Barbería. Barberlytics no proporciona ni contrata Servicios de Barbería, y los Profesionales y los Clientes contratan de forma independiente la prestación de Servicios de Barbería. Cada Cliente es el único responsable de seleccionar al Profesional, los Servicios de Barbería que se proporcionarán y la ubicación en la que se realizarán los Servicios de Barbería, ya sea en las instalaciones de un Profesional o en un sitio designado por el Cliente. Cualquier decisión de un Cliente de recibir Servicios de Barbería o de un Profesional de proporcionar Servicios de Barbería es una decisión que toma dicha persona a su entera discreción.
Barberlytics no tiene control sobre la calidad, idoneidad, confiabilidad, oportunidad, durabilidad, legalidad, falta de provisión o cualquier otro aspecto de cualquier Servicio de Barbería proporcionado por los Profesionales, ni sobre la integridad, responsabilidad o cualquiera de las acciones u omisiones de cualquier Profesional o Cliente. Barberlytics no hace representaciones ni garantías con respecto a los Servicios de Barbería ofrecidos o proporcionados por Profesionales o solicitados por Clientes mediante el uso de los Servicios, ya sea en interacciones públicas, privadas o fuera de línea, o sobre la acreditación, el registro o la licencia de cualquier Profesional. Usted comprende que Barberlytics no evalúa de manera rutinaria a sus Usuarios, ni investiga los antecedentes de sus Usuarios, ni intenta verificar la información proporcionada por ningún Usuario. Barberlytics no verifica ni confirma que ningún Usuario es quien dice ser ni se representa con precisión y no verifica ni confirma ninguna representación con respecto a los Servicios de Barbería o la identidad de los Profesionales en la Plataforma Barberlytics. Barberlytics no asume ninguna responsabilidad por la exactitud o confiabilidad de esta información o de cualquier información proporcionada en o a través de la Plataforma Barberlytics.
Aunque los Servicios tienen la intención de proporcionar la disponibilidad de cada Profesional en tiempo real, es posible que ocurra un conflicto de programación que requiera que el Profesional reprograme su reserva. La creación de una reserva utilizando los Servicios no es una garantía de que el Profesional cumplirá con la reserva según lo programado.
Barberlytics no puede garantizar la disponibilidad de los Servicios a ningún Usuario.
II. PAGOS
Al utilizar los Servicios de Barberlytics para reservar y pagar los Servicios de Barbería, usted reconoce y acepta pagar las tarifas asociadas con la reserva de los Servicios de Barbería ("Cargos") como se describe ya sea en el momento de la reserva o en persona con el Profesional en el momento del pago. Los Cargos incluyen tarifas aplicables a los Servicios de Barbería, además de cualquier propina al Profesional que elija pagar, más tarifas de reserva aplicables, si las hubiera, impuestos aplicables y otras tarifas aplicables. Las tarifas de los Servicios de Barbería son establecidas por los Profesionales y se establecen en la página del Profesional correspondiente dentro de la Plataforma Barberlytics. Después de realizar una reserva pero antes del momento de su cita, se puede colocar una retención de autorización en su método de pago. Su método de pago no se cobrará hasta después del momento de su cita. Si no puede asistir a su cita, es su responsabilidad cancelar a tiempo para evitar cargos innecesarios. Tenga en cuenta, sin embargo, que es su responsabilidad conocer la política de cancelación de su Profesional y la política de cancelación del negocio con el que su Profesional está asociado (la "Tienda"). En el caso de que cancele su cita para los Servicios de Barbería, dependiendo de la política de cancelación de su Profesional o de la Tienda, es posible que se le cobre una tarifa de cancelación ("Tarifa de Cancelación"). Si utiliza los Servicios de Barberlytics para reservar su cita, entonces la Tarifa de Cancelación de cada Profesional, si la hubiera, se le mostrará para que la reconozca y acepte antes de enviar su reserva. Las Tarifas de Cancelación pueden ser iguales a la totalidad de los Cargos por la reserva.
En relación con el uso de la Plataforma Barberlytics para recibir Servicios de Barbería, se le requiere que ingrese información de tarjeta de crédito u otra información de pago. Al ingresar su información de pago cuando se le solicita, autoriza a Barberlytics y a los procesadores de pagos a cobrar y procesar los Cargos o Tarifas de Cancelación evaluados. Si bien Barberlytics hace lo que creemos que son esfuerzos razonables para garantizar la transmisión segura de su información a terceros que evalúan y procesan los pagos, Barberlytics no es responsable de ninguna tarifa o cargo evaluado por terceros ni de ningún error en el procesamiento de los pagos por parte de terceros, incluidos los errores que resulten de la negligencia de terceros, la transmisión incorrecta de la información de pago, el envío erróneo de su información de pago o su envío de información de pago errónea.
Barberlytics facilita la transacción de pago según estos Términos de Servicio entre usted y cada Profesional, pero no es responsable de mediar en ninguna disputa resultante. Barberlytics no tiene la obligación de proporcionar reembolsos o créditos, pero puede otorgarlos en circunstancias atenuantes, como resultado de promociones específicas de garantía de reembolso, o para corregir cualquier error cometido por Barberlytics, en cada caso a la entera discreción de Barberlytics.
III. SERVICIOS DE PROCESAMIENTO DE PAGOS
El Papel de Barberlytics
Parte de la funcionalidad de los Servicios permite a los Clientes pagar y a los Profesionales aceptar pagos por los Servicios de Barbería, incluidos los pagos basados en tarjetas iniciados con tarjetas que llevan las marcas comerciales de varias compañías de tarjetas de crédito o débito (colectivamente, las "Redes"). Barberlytics no es un banco y no ofrece servicios bancarios según lo definido por el Departamento del Tesoro de los Estados Unidos. Barberlytics facilita el procesamiento de los pagos que los Profesionales reciben de los Clientes. Esto significa que recopilamos, analizamos y retransmitimos información generada en relación con estos pagos.
Autorización
Usted nos autoriza a procesar pagos de acuerdo con los Servicios, utilizando la información de pago que ha suministrado.
Autorización de Tarjeta de Crédito
Tras la adición de un nuevo método de pago, Barberlytics puede solicitar la autorización de su método de pago seleccionado con fines de verificación para garantizar que el costo de los Servicios de Barbería esté cubierto y para proteger contra un comportamiento no autorizado. La autorización no es un cargo. Sin embargo, puede reducir su crédito disponible por el monto de la autorización hasta el próximo ciclo de procesamiento de su Red aplicable. Si el monto de nuestra autorización excede los fondos totales en depósito en su cuenta, es posible que esté sujeto a cargos por sobregiro o fondos insuficientes por parte de la institución emisora de su tarjeta de débito o crédito. No podemos ser responsables de estos cargos y no podemos ayudarlo a recuperarlos de su institución emisora.
IV. CUENTAS DE BARBERLYTICS
Registro de Cuenta
Al crear una cuenta con Barberlytics (una "Cuenta"), se le otorga el derecho de utilizar los Servicios proporcionados por Barberlytics, sujeto a las restricciones establecidas en estos Términos de Servicio y en la Política de Privacidad (que se incorpora a la presente y es parte de estos Términos de Servicio) y cualquier otra restricción estipulada por nosotros por escrito. Al registrarse en una Cuenta, usted acepta proporcionar información veraz, precisa, actual y completa sobre usted mismo según lo solicite el proceso de registro de los Servicios y según lo solicite Barberlytics de vez en cuando (dicha información, "Datos de Registro"). Además, acepta que, al proporcionar dichos Datos de Registro, no omitirá ni tergiversará de forma intencionada ningún hecho o información material y que ingresará de inmediato Datos de Registro corregidos o actualizados a través de los Servicios, o nos informará de inmediato por escrito sobre cualquier cambio o actualización de sus Datos de Registro. Usted además consiente y nos autoriza a verificar sus Datos de Registro según sea necesario para su uso y acceso a los Servicios. Nos reservamos el derecho de suspender o cancelar la Cuenta de cualquier persona que proporcione información inexacta, falsa o incompleta, o que no cumpla con los requisitos de registro de cuenta.
ID de Cuenta
Una vez que se registre en los Servicios, recibirá una identificación de usuario única y una contraseña en relación con su Cuenta (denominadas colectivamente en el presente documento "ID de Cuenta"). Debe utilizar su nombre verdadero y preciso al registrarse para una Cuenta. Está obligado a seleccionar un ID de Cuenta apropiado y no ofensivo. Nos reservamos el derecho de eliminar o reclamar cualquier ID de Cuenta si creemos, a nuestra entera discreción, que el ID de Cuenta es inapropiado, ofensivo o confuso o podría violar los derechos de un tercero (como cuando un propietario de una marca registrada notifica que un ID de Cuenta es similar a la marca registrada y el ID de Cuenta no se relaciona estrechamente con el nombre real o los derechos de marca registrada del Usuario).
Su Cuenta
Usted acepta mantener su Cuenta únicamente para su propio uso. Usted acepta que no permitirá que otra persona use sus ID de Cuenta para acceder o usar los Servicios bajo ninguna circunstancias. Usted es el único y total responsable de mantener la confidencialidad de sus ID de Cuenta y de cualquier cargo, daño, responsabilidad o pérdida incurrida o sufrida como resultado de su incumplimiento en hacerlo. No somos responsables de ningún daño causado o relacionado con el robo de sus ID de Cuenta, su divulgación de sus ID de Cuenta, o su autorización para permitir que otra persona acceda o use los Servicios utilizando sus ID de Cuenta. Además, usted es el único y total responsable de todas y cada una de las actividades que ocurran bajo su Cuenta, incluidos los cargos incurridos en relación con los Servicios. Usted acepta notificarnos de inmediato sobre cualquier uso no autorizado de su Cuenta o cualquier otra violación de seguridad que conozca. Usted reconoce que no se puede garantizar la privacidad completa de sus datos y mensajes transmitidos mientras utiliza los Servicios.
Vincular su Cuenta
Como parte de la funcionalidad de los Servicios, puede vincular su Cuenta con las cuentas en línea que pueda tener con proveedores de servicios de terceros (cada cuenta, una "Cuenta de Terceros") ya sea: (i) proporcionando la información de inicio de sesión de su Cuenta de Terceros a través de los Servicios; o (ii) permitiendo que Barberlytics acceda a su Cuenta de Terceros, según lo permitido en los términos y condiciones aplicables que rigen su uso de dicha Cuenta de Terceros. Usted declara que tiene derecho a revelar su información de inicio de sesión de su Cuenta de Terceros a Barberlytics y/o a otorgar a Barberlytics acceso a su Cuenta de Terceros (incluido, entre otros, para el uso de los propósitos descritos aquí), sin incumplir ninguno de los términos y condiciones que rigen su uso de la Cuenta de Terceros aplicable y sin obligar a Barberlytics a pagar ninguna tarifa o someter a Barberlytics a ninguna limitación de uso impuesta por dichos proveedores de servicios externos. Al otorgar acceso a Barberlytics a cualquier Cuenta de Terceros, comprende que Barberlytics puede acceder, poner a disposición y almacenar (si corresponde) cualquier contenido que haya proporcionado y almacenado en su Cuenta de Terceros, incluidos, entre otros, listas de amigos, listas de amigos mutuos, listas de seguidores/seguidos y listas de "Me gusta" (el "Contenido de SNS"), para que esté disponible en y a través de la Plataforma Barberlytics para otros Usuarios. A menos que se especifique lo contrario en estos Términos de Servicio, todo el Contenido de SNS, si lo hay, se considerará información suya. Dependiendo de las Cuentas de Terceros que elija y con sujeción a la configuración de privacidad que haya establecido en dichas Cuentas de Terceros, la información de identificación personal que publique en sus Cuentas de Terceros puede estar disponible en y a través de su Cuenta en la Plataforma Barberlytics. Tenga en cuenta que si una Cuenta de Terceros o un servicio asociado deja de estar disponible o el proveedor de servicios de terceros cancela el acceso de Barberlytics a dicha Cuenta de Terceros, es posible que el Contenido de SNS ya no esté disponible en y a través de la Plataforma Barberlytics. A su solicitud realizada por correo electrónico, Barberlytics desactivará la conexión entre los Servicios de Barberlytics y cualquiera de sus Cuentas de Terceros y eliminará cualquier información aplicable almacenada en los servidores de Barberlytics que se obtuvo a través de dicha Cuenta de Terceros, a excepción del nombre de usuario y la foto de perfil que quedan asociados con su Cuenta. TENGA EN CUENTA QUE SU RELACIÓN CON LOS PROVEEDORES DE SERVICIOS TERCEROS ASOCIADOS CON SUS CUENTAS DE TERCEROS SE RIGE ÚNICAMENTE POR SU ACUERDO CON DICHOS PROVEEDORES DE SERVICIOS TERCEROS. Barberlytics no hace ningún esfuerzo por revisar ningún Contenido de SNS para ningún propósito, incluidos, entre otros, por precisión, legalidad o no infracción, y Barberlytics no es responsable de ningún Contenido de SNS.
Barberlytics facilita la transacción de pago según estos Términos de Servicio entre usted y cada Profesional, pero no es responsable de mediar en ninguna disputa resultante. Barberlytics no tiene la obligación de proporcionar reembolsos o créditos, pero puede otorgarlos en circunstancias atenuantes, como resultado de promociones específicas de garantía de reembolso, o para corregir cualquier error cometido por Barberlytics, en cada caso a la entera discreción de Barberlytics.
Los Servicios pueden contener enlaces a sitios web de terceros que no son propiedad ni están controlados por Barberlytics. Barberlytics no tiene control ni asume ninguna responsabilidad sobre el contenido, las políticas de privacidad o las prácticas de los sitios web de terceros. Además, Barberlytics no censurará ni podrá censurar o editar el contenido de ningún sitio de terceros. Al usar los Servicios, usted exime expresamente a Barberlytics de toda responsabilidad que surja de su uso de cualquier sitio web de terceros.
Usted reconoce y acepta que los Servicios pueden acceder a su libreta de direcciones de correo electrónico asociada con una Cuenta de Terceros y a su lista de contactos almacenada en su dispositivo móvil o tableta con el único propósito de identificar e informarle a aquellos contactos que también se han registrado para usar los Servicios.
V. TERMINACIÓN DE CUENTA
Derecho a Terminar
Barberlytics se reserva el derecho, a su entera discreción, de cancelar su Cuenta si viola estos Términos de Servicio o por cualquier motivo o sin motivo en cualquier momento. También podemos suspender su acceso a su Cuenta (incluidos los fondos de su Cuenta), la Plataforma Barberlytics y los Servicios si (i) ha violado los términos de este Acuerdo, cualquier otro acuerdo que tenga con Barberlytics, o las políticas de Barberlytics o (ii) proporciona información falsa, incompleta, inexacta o engañosa o participa de otra manera en una conducta deshonesta, fraudulenta o ilegal.
Efectos de la Terminación
Si su Cuenta se cancela o suspende por cualquier motivo o sin motivo, usted acepta: (a) seguir sujeto a este Acuerdo, (b) dejar de usar inmediatamente los Servicios, (c) que la licencia provista bajo este Acuerdo finalizará, (d) que nos reservamos el derecho (pero no tenemos la obligación) de eliminar toda su información y los datos de la cuenta almacenados en nuestros servidores, y (e) que Barberlytics no será responsable ante usted o un tercero por la terminación o suspensión del acceso a los Servicios o por la eliminación de su información o datos de cuenta.
No seremos responsables ante usted por compensación, reembolso o daños en relación con su uso de los Servicios, o en relación con cualquier terminación o suspensión de los Servicios. Cualquier terminación de este Acuerdo no le exime de ninguna obligación de pagar los Cargos, Tarifas de Cancelación u otras tarifas o costos acumulados antes de la terminación y cualquier otro monto adeudado por usted a nosotros o a cualquiera de los Profesionales como se establece en este Acuerdo.
Barberlytics no es responsable de ninguna pérdida relacionada con devoluciones de cargo, cargos fraudulentos u otras acciones por parte de cualquier Usuario que sean engañosas, fraudulentas o de otro modo no válidas ("Acciones Fraudulentas"). Al usar los Servicios, por la presente libera a Barberlytics de cualquier responsabilidad que surja de Acciones Fraudulentas. También hará sus mejores esfuerzos para notificar de inmediato a Barberlytics sobre cualquier Acción Fraudulenta, lo que puede afectar a los Servicios. Barberlytics se reserva el derecho, a su entera discreción, de cancelar la cuenta de cualquier Usuario que participe o permita a cualquier otro Usuario participar en Acciones Fraudulentas.
VI. COMUNICACIONES DE BARBERLYTICS
Al suscribirse a Barberlytics Alerts, acepta de manera expresa y autoriza recibir comunicaciones SMS de Barberlytics a través de códigos cortos al número de teléfono celular que nos proporcionó. Al aceptar este Acuerdo, acepta recibir mensajes SMS al número de teléfono celular proporcionado por usted a Barberlytics, incluidos los SMS enviados a través del uso de tecnología automatizada. Los mensajes SMS de Barberlytics pueden incluir, entre otros: recordatorios relacionados con Servicios de Barbería, comunicaciones operativas relativas a sus Cuentas o uso de la Plataforma o Servicios de Barberlytics, actualizaciones sobre características nuevas y existentes en la Plataforma Barberlytics, comunicaciones sobre promociones y noticias sobre Barberlytics y desarrollos en la industria. La frecuencia de los mensajes puede variar según las preferencias del usuario. Los residentes pueden optar por no recibir mensajes futuros de Barberlytics en cualquier momento respondiendo STOP. En su defecto, puede cancelar su suscripción poniéndose en contacto con nosotros. Pueden aplicarse las tarifas de datos y mensajes estándar de su proveedor. Los proveedores inalámbricos no garantizan que se entreguen alertas y no se harán responsables de los mensajes demorados o no entregados. Reconoce que no está obligado a dar su consentimiento para recibir mensajes promocionales como condición para utilizar la Plataforma Barberlytics o los Servicios. Sin embargo, reconoce que la exclusión voluntaria de recibir mensajes de texto u otras comunicaciones puede afectar su uso de la Plataforma Barberlytics o de los Servicios. Barberlytics respeta su privacidad.
VII. USO DE BARBERLYTICS, LIMITACIONES Y CAMBIOS EN EL SERVICIO
Podemos cambiar, modificar, suspender o descontinuar todos o parte de los Servicios en cualquier momento, con o sin motivo. Usted reconoce que el funcionamiento de los Servicios puede encontrar de vez en cuando problemas técnicos o de otra índole y puede no continuar de forma ininterrumpida o sin errores técnicos u otros, y Barberlytics no será responsable ante usted u otros por tales interrupciones, errores o problemas o una interrupción total de los Servicios. Barberlytics no tiene la obligación de mantener o actualizar los Servicios o de continuar produciendo o lanzando nuevas versiones de los Servicios.
Haremos esfuerzos razonables para mantener los Servicios operativos las veinticuatro (24) horas del día, los siete (7) días de la semana, excepto por: (i) tiempo de inactividad planificado (del cual nos esforzaremos por brindar un aviso con al menos 8 horas de anticipación); o (ii) cualquier falta de disponibilidad causada por circunstancias ajenas a nuestro control, incluidos, entre otros, actos fortuitos, actos gubernamentales, inundaciones, incendios, terremotos, disturbios civiles, actos de terrorismo, huelgas u otros problemas laborales o fallos de proveedores de servicios de Internet o retrasos.
Como Usuario de los Servicios, acepta seguir todas las normas y leyes aplicables y asume la responsabilidad total por cualquier promoción que ofrezca a través de los Servicios.
Cuando publica contenido o información a través del Servicio, significa que todos, incluidas las personas ajenas a la comunidad de Barberlytics, tendrán acceso a esa información y es posible que no tengamos control sobre lo que hagan con ella.
Siempre apreciamos sus comentarios u otras sugerencias sobre Barberlytics, pero comprende que podemos usarlos sin obligación alguna de compensarlo por ellos (al igual que no tiene la obligación de ofrecerlos).
Hacemos todo lo posible por mantener a Barberlytics a salvo y libre de spam, pero no podemos garantizarlo. Con respecto a su uso de la Plataforma Barberlytics y la recepción de Servicios de Barbería, usted acepta no:
- hacerse pasar por ninguna persona o entidad;
- acosar, amenazar o importunar de ninguna forma a ninguna persona;
- llevar armas;
- violar cualquier ley, estatuto, ordenanza o regulación;
- interferir o interrumpir los Servicios o la Plataforma Barberlytics o los servidores o redes conectadas a la Plataforma Barberlytics;
- publicar o transmitir información o interactuar en la Plataforma Barberlytics de una manera que sea falsa, inexacta, engañosa (directamente o por omisión o por no actualizar la información), difamatoria, abusiva, obscena, profana, ofensiva, de orientación sexual, amenazante, acosadora o ilegal;
- usar la Plataforma Barberlytics de una manera que infrinja los derechos de un tercero, incluidos, entre otros: derechos de propiedad intelectual, derechos de autor, patentes, marcas registradas, secretos comerciales u otros derechos de propiedad o derechos de publicidad o privacidad;
- publicar, enviar por correo electrónico o de otra manera transmitir códigos maliciosos, archivos o programas diseñados para interrumpir, dañar, destruir o limitar la funcionalidad de cualquier software o hardware informático o equipo de telecomunicaciones o interceptar o expropiar subrepticiamente ningún sistema, dato o información personal;
- falsificar encabezados o manipular identificadores para ocultar el origen de cualquier información transmitida a través de la Plataforma Barberlytics;
- "enmarcar" o "reflejar" ("mirror") cualquier parte de la Plataforma Barberlytics sin nuestra autorización previa por escrito o utilizar metaetiquetas o códigos u otros dispositivos que contengan referencias a nosotros para dirigir a cualquier persona a cualquier otro sitio web para cualquier propósito;
- modificar, adaptar, traducir, realizar ingeniería inversa, descifrar, descompilar o desensamblar cualquier parte de la Plataforma Barberlytics o cualquier software utilizado en o para la Plataforma Barberlytics;
- alquilar, arrendar, prestar, vender, redistribuir, licenciar o sublicenciar la Plataforma Barberlytics;
- utilizar ningún robot, araña (spider), aplicación de búsqueda/recuperación de sitios, u otro dispositivo o proceso automático o manual para recuperar, indexar, extraer, o de cualquier manera reproducir o eludir la structure de navegación o presentación de la Plataforma Barberlytics o su contenido;
- enlazar directa o indirectamente a cualquier otro sitio web;
- transferir o vender su Cuenta o ID de Cuenta a un tercero; o
- causar o facilitar que un tercero se involucre en las actividades restringidas anteriormente.
Para asegurarse de que podamos proporcionar los Servicios, usted acepta:
- mantener sus Datos de Registro y su información de contacto exactos y actualizados;
- mantener su información de pago precisa y actualizada; y
- mantener la confidencialidad de su ID de Cuenta e información de la Cuenta, y no compartir su información de inicio de sesión o ID de Cuenta, no permitir que nadie más acceda a su Cuenta ni hacer nada que pueda poner en peligro la seguridad de su Cuenta.
VIII. AVISO DE HIPAA
No debe compartir ninguna información de salud protegida con proveedores de servicios a través del Servicio. El Servicio no está destinado para la comunicación de información de salud protegida y no está destinado a cumplir con la Ley de Portabilidad y Responsabilidad del Seguro Médico (HIPAA). El término "información de salud protegida" significa cualquier información que se relacione con la salud o condición física o mental, pasada, presente o futura de un individuo; la provisión de atención médica a un individuo; o el pago pasado, presente o futuro por la provisión de atención médica a un individuo. Si comparte información de salud protegida, lo hace bajo su propio riesgo.
IX. DERECHOS DE PROPIEDAD
Los Servicios contienen contenido y tecnología de Barberlytics protegidos por derechos de autor, marcas comerciales, patentes, secretos comerciales y otras leyes. Barberlytics es dueño de los derechos de propiedad intelectual de cualquier parte de los Servicios que se pueda proteger, incluido, entre otros, el diseño, ilustraciones, logotipos, funcionalidad y documentación (colectivamente, la "Propiedad de Barberlytics"). Usted no puede copiar, modificar o realizar ingeniería inversa a ninguna parte de los Servicios o de la Propiedad de Barberlytics.
Barberlytics respeta la propiedad intelectual de otros. Barberlytics puede, a su discreción, desactivar y/o cancelar las Cuentas de los Usuarios que, según determina Barberlytics, creen repetidamente que han infringido los derechos de los demás. Si cree que su trabajo ha sido copiado de una manera que constituye una infracción de los derechos de autor, o si sus derechos de propiedad intelectual han sido violados de alguna manera, proporcione la siguiente información al agente de derechos de autor de Barberlytics:
- una firma electrónica o física de la persona autorizada a actuar en nombre del propietario de los derechos de autor o de otros intereses de propiedad intelectual;
- una descripción de la obra protegida por derechos de autor u otra propiedad intelectual que afirma que se ha infringido;
- una descripción de la ubicación en el sitio donde se encuentra el material que afirma que está infringiendo, incluido un enlace de URL;
- su dirección, número de teléfono y dirección de correo electrónico;
- una declaración suya donde conste que tiene una creencia de buena fe en que el uso en disputa no está autorizado o consentido por el propietario de los derechos de autor, su agente o la ley; y
- una declaración suya, bajo pena de perjurio, en la que asegura que la información anterior en su notificación es completamente precisa y de que es el propietario de los derechos de autor o de propiedad intelectual o de que está autorizado para actuar en su nombre.
X. DESCARGOS DE RESPONSABILIDAD
Usted entiende y acepta expresamente que:
Su uso de los servicios es bajo su propio riesgo. Usted es el único y exclusivo responsable de sus interacciones con otros usuarios y acepta que es exclusivamente su responsabilidad tomar precauciones razonables en todas sus acciones e interacciones con otros profesionales y clientes y en la prestación o recepción de servicios de barbería. Barberlytics no se responsabiliza de la conducta, ya sea en línea o sin conexión, de ningún usuario de los servicios. Barberlytics no está obligado a, ni investiga sistemáticamente a sus usuarios, ni investiga los antecedentes de sus usuarios o intenta verificar la información proporcionada por ningún usuario. Nos reservamos el derecho, pero no tenemos obligación alguna, de supervisar las controversias entre usted y otros usuarios. Por favor, seleccione con cuidado el tipo de información que publica en los servicios o a través de estos servicios o revela a otros. Renunciamos a toda responsabilidad, sin importar la forma en que se intente proceder legalmente, por las acciones u omisiones de cualquier usuario o de cualquier otra de las partes.
Los datos de ubicación proporcionados por la Plataforma Barberlytics son solo para fines básicos de localización y no están diseñados para depender de ellos en situaciones en las que se necesite información de ubicación precisa o en las que los errores, inexactitudes o datos incompletos puedan provocar muerte, lesiones personales, daños a la propiedad o daños al medio ambiente. Ni Barberlytics, ni ninguno de sus proveedores de contenidos, garantizan la disponibilidad, exactitud, exhaustividad, fiabilidad o puntualidad de los datos de localización mostrados por la plataforma Barberlytics. Cualquier información suya, incluidos datos de geolocalización que cargue, proporcione o publique en la plataforma Barberlytics, puede ser accesible a Barberlytics y a determinados usuarios de la plataforma Barberlytics.
Es posible que otras personas obtengan información personal sobre usted debido a su uso de los servicios o de los servicios de barbería, y utilicen dicha información para acosarlo o lesionarlo. No somos responsables del uso de ninguna información personal que usted divulgue en la plataforma Barberlytics o a través de los servicios o servicios de barbería. Usted comprende que, al utilizar los servicios, la información confidencial viajará a través de una infraestructura de terceros que no está bajo el control de Barberlytics (como servidores de terceros). Barberlytics no ofrece ninguna garantía con respecto a la seguridad de dicha infraestructura de terceros.
Los servicios se proporcionan "tal cual" y "según disponibilidad". Barberlytics y sus subsidiarias, afiliadas, directivos, empleados, agentes, socios y licenciantes renuncian expresamente a todas las garantías de cualquier tipo, ya sean expresas o implícitas, incluidas, entre otras, las garantías implícitas de comerciabilidad, idoneidad para un fin determinado y no infracción.
Barberlytics no garantiza que (i) los servicios cumplirán con sus requisitos o expectativas, (ii) que su acceso a o uso de los servicios será ininterrumpido, oportuno, seguro o libre de errores, (iii) que cualquier defecto en los servicios será corregido, o (iv) que los servicios o cualquier servidor a través del cual acceda a los servicios estén libres de virus u otros componentes dañinos.
Barberlytics no hace representaciones ni garantías sobre la calidad, idoneidad, confiabilidad, oportunidad, durabilidad, legalidad o cualquier otro aspecto de los servicios de barbería ofrecidos o proporcionados por profesionales o solicitados por clientes mediante el uso de los servicios, ya sea en interacciones públicas, privadas o fuera de línea o sobre la acreditación, registro o licencia de cualquier profesional.
Cualquier material descargado u obtenido de otra manera a través del uso de los servicios se accede a su propia discreción y riesgo, y usted será el único responsable de cualquier daño a su sistema informático, dispositivo móvil, tabletas o pérdida de datos que resulte de la descarga de dicho material.
Ningún consejo o información, ya sea oral o escrito, obtenido por usted de Barberlytics o a través o desde los servicios creará ninguna garantía que no se establezca expresamente en estos términos de servicio.
XI. LIMITACIONES DE RESPONSABILIDAD Y LIBERACIÓN
En la máxima medida permitida por la ley, en ningún caso Barberlytics o sus filiales, directivos, empleados, agentes, socios y licenciantes serán responsables de ningún daño, ya sea directo, indirecto, incidental, especial, consecuente o punitivo, incluyendo, entre otros, daños por lesiones corporales o angustia emocional y daños por pérdida de ganancias, buena voluntad, uso, datos u otras pérdidas intangibles (incluso si Barberlytics ha sido advertido de la posibilidad de tales daños), que resulten de: (i) el uso o la imposibilidad de usar los servicios; (ii) servicios de barbería facilitados por los servicios o cualquier interacción entre usuarios, incluyendo sin limitación cualquier responsabilidad que surja en relación con la conducta, acto u omisión de cualquier usuario (incluyendo sin limitación el acoso, acoso que es sexual o de otra naturaleza, actos de violencia física y destrucción de propiedad personal) o cualquier disputa con cualquier usuario; (iii) declaraciones o conducta de cualquier tercero en el servicio; (iv) cualquier acceso no autorizado a o alteración de los servicios o sus datos o transmisiones; o (v) cualquier otro asunto relacionado con los servicios.
Algunas jurisdicciones no permiten la exclusión de ciertas garantías o la limitación o exclusión de responsabilidad por daños incidentales o consecuentes. En consecuencia, es posible que algunas de las limitaciones anteriores no se apliquen a usted.
Barberlytics renuncia expresamente a cualquier responsabilidad que pueda surgir entre los usuarios en relación o como resultado del uso de los servicios. Dado que Barberlytics no participa en las interacciones reales entre profesionales y clientes ni en la prestación de ningún servicio de barbería, por la presente libera y descarga para siempre a Barberlytics y sus afiliados, funcionarios, directores, empleados, agentes y licenciantes de todas y cada una de las reclamaciones, demandas, daños (reales o consecuentes) de cualquier tipo y naturaleza, ya sean conocidos o desconocidos, contingentes o liquidados, que surjan de o estén relacionados con cualquier disputa o interacción con cualquier otro usuario, ya sea en línea o en persona, ya sea relacionado con la prestación de servicios de barbería o de otra manera.
XII. INDEMNIZACIÓN
Usted acepta defender, indemnizar y mantener indemne a Barberlytics y sus filiales, directivos, directores, empleados, agentes, socios y licenciantes de y contra cualquier y todos los reclamos, daños, obligaciones, pérdidas, responsabilidades, costos, deudas y gastos (incluyendo, entre otros, los honorarios de abogados) que surjan de o estén relacionados con: (i) su uso de y acceso a los Servicios; (ii) Servicios de Barbería facilitados por los Servicios o cualquier interacción entre usted y otro Usuario; (iii) su violación de cualquier término de estos Términos de Servicio; (iv) su violación de los derechos de cualquier tercero, incluyendo sin limitación cualquier derecho de autor, propiedad intelectual, secreto comercial o derecho de privacidad; o (v) cualquier reclamo o daño de terceros relacionado con la muerte, lesiones personales o angustia emocional que surja o esté relacionado con el uso de los Servicios o los Servicios de Barbería. Esta obligación de defensa e indemnización sobrevivirá a la terminación de este Acuerdo y a su uso de los Servicios.
XIII. PRIVACIDAD
Nuestra recopilación de datos e información a través de los Servicios de los Usuarios y otros está sujeta a nuestra Política de Privacidad y se incorpora a la presente (la "Política de Privacidad"). Usted comprende que a través de su uso de los Servicios usted da su consentimiento a la recopilación y uso (como se establece en la Política de Privacidad) de dichos datos e información.
XIV. SEGURIDAD
Hemos implementado medidas técnicas y organizativas diseñadas para asegurar su información personal de la pérdida accidental y del acceso, uso, alteración o divulgación no autorizados. Sin embargo, no podemos garantizar que terceros no autorizados nunca podrán vencer esas medidas o usar su información personal para fines indebidos. Usted reconoce que proporciona su información personal bajo su propio riesgo.
XV. MISCELÁNEOS; CAMBIOS
Estos Términos de Servicio y todos los anexos o políticas referenciados, incluida la Política de Privacidad, constituyen el acuerdo completo entre usted y Barberlytics con respecto al tema aquí tratado y el uso de los Servicios reemplaza todos y cada uno de los acuerdos anteriores, escritos o verbales, entre usted y Barberlytics, incluidas las versiones anteriores de estos Términos de Servicio.
Barberlytics se reserva el derecho, a su sola y absoluta discreción, de cambiar, modificar, agregar, complementar o eliminar cualquiera de estos Términos de Servicio y todos los anexos o políticas a las que se hace referencia, incluida la Política de Privacidad. Barberlytics se esforzará por notificarle sobre cualquier cambio material por correo electrónico, pero no será responsable de ninguna falla en hacerlo. Si algún cambio futuro a estos Términos de Servicio le resulta inaceptable o hace que ya no cumpla con estos Términos de Servicio, debe rescindir y dejar de usar de inmediato Barberlytics. Su uso continuo de Barberlytics después de cualquier revisión de estos Términos de Servicio constituye su aceptación completa e irrevocable de todos y cada uno de dichos cambios.
Barberlytics puede ceder estos Términos de Servicio o cualquier otro acuerdo con usted en su totalidad o en parte en cualquier momento.
Estos Términos de Servicio y la relación entre usted y Barberlytics se regirán por las leyes del Estado de Nueva Jersey sin tener en cuenta sus disposiciones sobre conflictos de leyes. Usted y Barberlytics aceptan someterse a la jurisdicción personal y exclusiva de los tribunales ubicados en Nueva Jersey.
Cualquier falla de Barberlytics para hacer cumplir o ejercer un derecho previsto en estos Términos de Servicio no es una renuncia a ese derecho.
En caso de que alguna disposición de estos Términos de Servicio se considere inválida o inaplicable, los términos restantes seguirán aplicándose.
